Welcome to VenturePals, a unique entrepreneurial accountability platform dedicated to connecting entrepreneurs with each other to achieve their business goals. This End-User License Agreement governs your access to and use of our services, including our website (www.venture-pals.com), and any other features, content, or applications offered from time to time by VenturePals B.V. (collectively, the "Services").

To use VenturePals' full range of Services, you must register for an account. You agree to provide only accurate, complete registration information, and you will keep that information up-to-date if it changes. When you register, you will create a username and password (a “Login”). Access to the VenturePals Services is not authorized by any other person or entity using your Login and you are responsible for preventing such unauthorized use.
5. Subscription Services
VenturePals provides Services to you through our monthly and yearly subscription plans. By subscribing to any of these plans, you get access to a range of features and benefits that facilitate your entrepreneurial journey. Detailed descriptions, pricing, and terms related to these subscriptions will be made available to you at the time of your subscription. VenturePals reserves the right to modify its subscription plans or discontinue any feature of its Services at any time.
6. Payment Terms
For any Service requiring payment, you agree to pay all applicable fees for the Service as set forth on our platform. Payments will be charged on a pre-pay basis on the day you sign up for a subscription and will cover the use of that service for the duration of one month or one year, depending on your chosen plan.
You agree to provide VenturePals with complete and accurate billing information and notify us of any changes to such information. If you dispute any charges, you must let VenturePals know within sixty (60) days after the date that we invoice you.
7. Refund Policy
VenturePals offers a 30-day money-back guarantee. If you are not satisfied with our Services for any reason, you can claim a full refund within 30 days from the date of your subscription purchase. To request a refund, you need to contact us through the contact information provided on our platform. Refunds will be made to the original mode of payment and will be processed within a certain number of days depending on your card issuer's policies.
8. User Responsibilities
As a VenturePals user, you agree to use our Services responsibly. You must respect the rights and dignity of others, and your conduct should contribute to a comfortable and positive experience for all. Importantly, you may not share any sensitive information with your accountability partners on the platform. Users found violating these guidelines may be subject to penalties, including account suspension or termination.

VenturePals has a zero tolerance for objectionable content and any abusive behavior. To prevent this we employ content-filtering techniques and you agree to give us the option to monitor chat activity and history.

10. Content Ownership and Intellectual Property
You retain all of your ownership rights in your content. However, by submitting, posting, or displaying content on or through our Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods (existing now or later developed). This license authorizes us to make your content available to the rest of the world and to let others do the same.
11. Limitation of Liability
To the maximum extent permitted by applicable law, VenturePals shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services; any conduct or content of any third party on the Services, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties; any content obtained from the Services; or unauthorized access, use, or alteration of your transmissions or content.
12. Suspension and Termination
VenturePals may suspend or terminate your access to the Services at any time for any reason, including, but not limited to, if we reasonably believe: (i) you have violated this Agreement, (ii) you create risk or possible legal exposure for us; or (iii) our provision of the Services to you is no longer commercially viable. We will make reasonable efforts to notify you by the email address associated with your account or through our Services the next time you attempt to access your account.
13. Dispute Resolution and Governing Law
This End-User License Agreement and any action related thereto will be governed by the laws of the Netherlands without regard to or application of its conflict of law provisions or your state or country of residence. All claims, legal proceedings, or litigation arising in connection with the Services will be brought solely in the courts located in the Netherlands, and you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.
14. Updates to the End-User License Agreement
VenturePals reserves the right, at its sole discretion, to modify or replace any part of this Agreement at any time. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to our Services following the posting of any changes to this Agreement constitutes acceptance of those changes.
15. Rights and Duties at Termination
Upon termination of this Agreement for any reason, all rights granted to you under this End-User License Agreement will cease immediately, and you must, at your option, return or destroy any copies of our materials you have made. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Your privacy is important to us. Please read our Privacy Policy, which describes how we collect, use, and share your personal data when you use our Services. By using our Services, you agree that we can use such data in accordance with our Privacy Policy.
17. Force Majeure
VenturePals shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control or unforeseen circumstances such as acts of nature or God, fire, flood, earthquake, accidents, strikes, war, terrorism, governmental act, failure of or interruption in common carriers (including without limitation internet service providers and web hosting providers) or utilities.

You acknowledge and agree that VenturePals is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by VenturePals of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.

By accepting this End-User License Agreement, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you don't agree to this Agreement, please do not use the Services.
This End-User License Agreement constitutes the entire agreement between you and VenturePals regarding the use of the Services, superseding any prior agreements between you and VenturePals relating to your use of the Services.
